BYLAWS OF THE

SALEM LUTHERAN SCHOOL

PARENT-TEACHER ORGANIZATION

Table of contents:

ARTICLE I - NAME

The name of this organization is the Salem Lutheran School Parent Teacher Organization (PTO).

ARTICLE II - PURPOSE

Section 1. The objectives of this Organization are:
 
A. To promote the mission of Salem Lutheran School: The Mission of Salem Lutheran School is to educate students through quality instruction emphasizing Jesus Christ as the foundation of their lives, in which their potential can be nurtured and developed as they grow in faith.
 
B. To improve relationships between parents and the educators.
 
C. To plan and coordinate community-building events or fundraisers that will benefit Salem Lutheran School.
 
Section 2. This Organization is not related to any local, state or national Parent/Teacher Association.

ARTICLE III - BASIC POLICIES

The following are basic policies of this Organization:
 
A. The Organization works in conjunction with the School Board and the Principal.
 
B. The Organization shall be noncommercial, nonsectarian and nonpartisan.
 
C. The name of the Organization or the names of any member in their official capacities shall not be used in connection with a commercial concern or with any partisan interest or for any purpose not appropriately related to promotion of the purpose of the Organization.
 
D. Binding commitments of this Organization can only be made by majority vote of the members present at a business meeting, or by two-thirds vote of the Executive Board at a special meeting.
 
E. Upon dissolution of this Organization, debts and obligations of the Organization shall be paid or provided for and remaining assets shall be distributed to Salem Lutheran School.

ARTICLE IV - ARTICLES OF ORGANIZATION

The Organization exists as a not-for-profit corporation.

ARTICLE V - MEMBERSHIP AND DUES

Section 1. Membership in this Organization shall be made available to any individual who subscribes to the objects and basic policies of the Organization, without regard to race, color, creed or national origin.
 
Section 2. A member in good standing is any individual who has a child currently attending Salem Lutheran School. There are no membership dues.
 
Section 3. Only members in good standing of the Organization shall be eligible to vote in business meetings or to serve in any of its elective or appointive positions.

ARTICLE VI - OFFICERS AND THEIR ELECTION

Section 1. Each officer of this Organization shall be a member in good standing.
 
Section 2. Nomination and election of Officers:
 
A. The officers of this Organization shall consist of President, Vice-President, Secretary, and Treasurer. Each position can also be divided, if necessary, into co-positions, ie. Co-Presidents, Co-Vice-Presidents, Co-Secretaries, and Co-Treasurers. These officers make up the Executive Board of the Organization.
 
B. The Nominating Committee shall consist of the Executive Board and school Principal.
 
C. The Nominating Committee shall solicit recommendations for new Board members, as well as volunteers, from the entire school constituency. The Committee shall then nominate one (1) candidate for each office to be filled no later than the April meeting. This slate of candidates shall be published in the school newsletter following the April meeting. The consent of each candidate must be obtained before the name is placed in nomination. Additional nominations for each office shall be accepted from members of the Organization up until 72 hours prior to the June meeting, but shall not be accepted after this time.
 
D. Officers shall be elected by simple majority vote of a quorum of members present in a regular or special meeting. A single voice vote shall serve to simultaneously elect all officers to positions for which there is only one (1) nominee. In cases where more than one (1) nominee for any office is received, the vote shall be by written ballot. Ballots shall be counted by two (2) members of the Organization who do not have positions on the outgoing or nominated Board, or on the Nominating Committee.
 
E. Officers shall assume their responsibilities following the close of the last regular meeting of the school year (generally in June) and shall serve a term of one year or until their successors are elected.
 
F. A person shall not be eligible to serve more than two (2) consecutive terms in the same office. More than one half of a term shall be considered a full term for the purpose of this Article.
 
Section 3. Vacancies:
 
The Executive Board along with the school principal, shall recommend an individual to fill a vacancy of any Executive Board position by giving notice to the membership at least four (4) days prior to the next regular meeting. A voice vote at that regular meeting shall be used to elect that individual: a simple majority of those present is sufficient to elect.

ARTICLE VII - DUTIES OF OFFICERS

Section 1. President
 
The President shall preside at all meetings of the Organization and of the Executive Board. He or She shall be responsible for organizing volunteers to promote the purposes of the Organization; shall be a member ex-officio of all committees; shall appoint special committees as needed; and shall perform all other duties usually pertaining to the office.
 
Section 2. Vice-President
 
The Vice-President shall perform the duties of President in the event that the President is absent or are otherwise unable to discharge their duties.
 
Section 3. Secretary
 
The Secretary shall keep a correct record of all meetings of the Organization and of the Executive Board, shall ensure that only members vote and make motions at meetings and shall be responsible for the preparation and distribution of Minutes of each meeting.
 
Section 4. Treasurer:
 
The Treasurer shall have custody of all funds of the Organization; shall maintain such books as are required to account completely for all monies received and disbursed; shall make disbursements authorized by the President, Executive Board or the Organization. Both the Treasurer and the President shall be authorized to sign checks, with only one signature required.
 
Section 5. All officers shall:
 
A. Perform the duties described in the parliamentary authority in addition to those outlined in these bylaws or those assigned from time to time.
 
B. Treat all members of the school/church community with respect.
 
Section 6. Resignations:
 
Elected officers may resign their position by notifying the President or Executive Board in writing, and resignation shall be effective upon receipt of the letter.

ARTICLE VIII - EXECUTIVE BOARD

Section 1. The Executive Board shall consist of the elected officers of the Organization.
 
Section 2. The duties of the Executive Board shall be:
 
A. To transact necessary business in the intervals between regular or special meetings of the members and such other business as may be referred to it by the Organization;
 
B. To create committees as necessary;
 
C. To review the plans of the committees;
 
D. To present a report at the regular meetings of the Organization;
 
E. To prepare and submit an annual budget to the Salem Lutheran School Board;
 
F. To prepare and maintain a complete and accurate record of the accounts of the Organization and the Minutes of its meetings. Such records are to be made available in a timely manner to any member of the Organization.
 
Section 3. Meetings of the Executive Board shall be held during the year, the time to be fixed by the Board. Board meetings shall be presided over by the President. Special meetings may be called by any officer of the board. Two-thirds members shall constitute a quorum.

ARTICLE IX - MEETINGS

Section 1. The Organization shall include general monthly meetings during the year to be held at such time as is set by the Executive Board. A special meeting may be called by the Executive Board upon providing at least ten (10) calendar days’ written notice in advance of the meeting. All meetings shall be open to all members of good standing.
 
Section 2. In the event of inclement weather or other significant problems, the President may, in consultation with the principal, postpone or cancel a regular or special meeting previously announced to the membership, giving maximum notice permitted by the situation.
 
Section 3. The election of officers shall be no later than the last meeting of the school year.
 
Section 4. The installation of the officers shall take place at the last meeting of the school year.
 
Section 5. The privilege of holding office, making motions, and voting shall be limited to members in good standing.
 
Section 6. Two-thirds of the members attending any general or special meeting shall constitute a quorum for the transaction of business in any membership meeting and for the election of officers.

ARTICLE X - COMMITTEES

Section 1. Only members of the Organization shall be eligible to serve in any elective or leadership position.
 
Section 2. Committees may be formed in order to complete any order of business. The chair and members will be formed by volunteers from the members of the Organization. The term of each chairperson and members shall be one (1) year.
 
Section 3. The Executive Board may create such additional committees as may be deemed necessary to promote the objectives of the Organization and carry on its work.
 
Section 4. The President shall serve as a member ex-officio of all committees.

ARTICLE XI - FISCAL YEAR

The fiscal year of the Organization shall begin on July 1 and end on the following June 30.

ARTICLE XII - PARLIAMENTARY AUTHORITY

Robert’s Rules of Order Newly Revised shall govern the Organization in all cases that they are applicable and in which they are not in conflict with these Bylaws.
 
Section 1. Any monetary expenditure that has not been approved in the budget must be brought before the executive board for approval.
 
Section 2. No chairperson or committee member shall spend more than $25.00 over the amount approved in the current budget without board approval.
 
Section 3. All special projects that will exceed $100.00 and are not listed in the budget must be approved by the membership of the organization at a general or special meeting.
 
Section 4. All special projects must have prior permission from the principal and school board.
 

ARTICLE XIII - DISSOLUTION

The Organization may be dissolved in the following manner:
 
A. The Executive Board shall give notice to the entire membership that dissolution is being considered by distributing “Articles of Dissolution” to all members.
 
B. At least two (2) weeks following this notice, a special membership meeting shall be called to discuss the dissolution proposal and to vote.
 
C. Dissolution requires approval of the “Articles of Dissolution” by two-thirds of members present at the special membership meeting, with greater than 50% of the membership required to be present.
 
D. Dissolution shall take effect when specifid in the “Articles of Dissolution”.
 
E. Upon dissolution, remaining funds shall be disbursed as defined in Article III E.

ARTICLE XIV - ADOPTION AND AMENDMENTS

Section 1. These Bylaws become effective when adopted by a two-thirds’ vote of the members present and voting at a regular meeting of the membership, or at a special meeting called for that purpose, provided that notice of the intention to adopt bylaws shall have been communicated to the membership at least seven (7) days prior to the meeting.
 
Section 2. These Bylaws may be amended at any meeting of the membership by a two-thirds’ vote of members present and voting, provided that notice of the proposed amendment shall have been given at least seven (7) days prior to the meeting at which the amendment is voted upon.
